What is a data room?
A data room is the secure online repository where a seller shares documents with buyers and their advisers during due diligence. Most are now virtual, with access permissions, view-only settings and question-and-answer tools. In a typical sale, bidders get access after the banker selects them from the first round, so they can verify what the confidential information memorandum (CIM) and management told them.
Why it matters to a revenue leader
Sales data ends up in the data room: customer lists, contracts, pipeline reports, win and loss history, pay plans and renewal records. Buyers and their advisers look for gaps between those files and the story told earlier. Clean CRM data and contracts that match billing make the review faster and reduce the questions that slow a deal or lower the price.
Example
Fictitious numbersDuring the sale of a mechanical services company, the buyer's advisers find that the CRM shows 1,200 active agreements while billing shows 1,050. The team spends two weeks reconciling the difference, and the buyer holds back part of the price until it is resolved.
"If a buyer compared our CRM and billing records today, would the agreement counts match?"
