What is buy-and-build?

Buy-and-build is a strategy for growing a platform company by acquiring and integrating a series of add-on companies. The goal is a larger, more capable business than any of the parts: shared costs, wider coverage and more services to sell each customer. Results depend heavily on the strength of the platform and the quality of integration, which is where many of these strategies stall.

Why it matters to a revenue leader

A buy-and-build gives a revenue leader growth through deals, but buyers at exit will ask how much growth was organic. Each acquired company arrives with its own pipeline definitions, pricing and pay plans. Until those match, you cannot compare branches, forecast the whole company or prove that growth repeats. The commercial standard is part of the asset the sponsor is building and selling.

Example

Fictitious numbers

A utility services platform completes six add-ons in four years and grows revenue from $60M to $180M. At exit, buyers ask how much of that growth came from acquisitions. Because all seven companies report renewals and new bookings the same way, the team can show 7 percent organic growth with evidence.

The question to ask

"If a buyer asked tomorrow, could we prove our organic growth rate across every acquired company?"
