What is a board seat?
A board seat is a position on the company's board of directors, often granted to a round's lead investor. Startup boards typically include the CEO, founders and investor directors, with independent directors added as the company matures. Board size and composition are usually negotiated with each funding round, and every director owes fiduciary duties to the company and its shareholders.
Why it matters to a revenue leader
The board approves financings, option grants and senior executive pay, and it hires and can fire the CEO. That makes it the real audience for the revenue plan. A revenue leader at a venture-backed company reports to the CEO but is judged by the board, so knowing what each director cares about is part of the job.
Example
A five-person board has two founders, two investor directors and one independent director. One investor director asks about deal size and sales cycle length at every meeting, while the other focuses on cash. The CRO's board update answers both questions on the first page.
